Welcome to ContractDiff, operated by Marketing Studios ("Company", "we", "us"). By using our services, you agree to these Terms of Service ("Terms").

1. Acceptance of Terms

By accessing or using ContractDiff, you agree to be bound by these Terms. If you disagree with any part, you may not access the service.

2. Description of Service

ContractDiff provides:

• Contract analysis using pattern-matching technology
• Version comparison (diff) for legal documents
• Terms of Service monitoring
• Risk assessment and reporting

3. User Accounts

3.1 Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials.

3.2 Account Responsibilities

• You are responsible for all activity under your account
• You must notify us immediately of any unauthorized access
• You may not share account credentials
• One person or entity per account unless on a team plan

4. Acceptable Use

You agree NOT to:

• Use the service for any unlawful purpose
• Upload malicious content or attempt to breach security
• Reverse engineer, decompile, or disassemble the service
• Use automated systems to access the service (except approved APIs)
• Resell or redistribute the service without authorization
• Interfere with or disrupt the service or servers
• Impersonate any person or entity
• Upload content that infringes intellectual property rights

5. Intellectual Property

5.1 Our Property

ContractDiff, including its design, features, and content, is owned by Marketing Studios and protected by copyright, trademark, and other laws.

5.2 Your Content

You retain ownership of contracts and documents you upload. By using our service, you grant us a limited license to process your content solely to provide the service. We do NOT use your content to train AI models.

6. Payment Terms

6.1 Billing

• Paid plans are billed in advance on a monthly or annual basis
• Prices are in INR unless otherwise specified
• All fees are non-refundable except as required by law

6.2 Cancellation

• You may cancel your subscription at any time
• Access continues until the end of the billing period
• No refunds for partial months/years

6.3 Price Changes

We may modify pricing with 30 days' notice. Existing subscribers are grandfathered for their current billing cycle.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY or RELIABILITY of analysis results
• UNINTERRUPTED or ERROR-FREE operation

ContractDiff is not a law firm and does not provide legal advice. Analysis results are for informational purposes only.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for any decisions made based on our analysis

9. Indemnification

You agree to indemnify and hold harmless Marketing Studios from any claims, damages, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights

10. Termination

10.1 By You

You may terminate your account at any time through your account settings.

10.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended inactivity (12+ months)

11. Governing Law & Disputes

11.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes shall be resolved through:

1. Negotiation: Good faith discussion for 30 days
2. Mediation: If negotiation fails, non-binding mediation
3. Arbitration: Binding arbitration in Bangalore, India under Indian Arbitration Act

Class action waiver: You agree to resolve disputes individually, not as part of a class action.

12. Data Processing

For users in the EU/EEA, we act as a data processor under GDPR. A Data Processing Agreement is available upon request for enterprise customers.

13. Export Compliance

You agree to comply with all applicable export laws and regulations.

14. Modifications

We may modify these Terms at any time. Material changes will be notified 30 days in advance. Continued use after changes constitutes acceptance.

15. Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Marketing Studios regarding the service.

By using ContractDiff, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
